THIS PURCHASING AGREEMENT ("Agreement") is made by and between Patron Technology Pty Ltd, ABN 13 644 417 658 trading as TicketLeap, with a principal place of business at PO BOX 41 SURRY HILLS NSW 2010 ("Company," "TicketLeap," "We," "Us," or "Our"), and you, a person, organisation or other entity ("You," "Your, " "Purchaser," "Buyer," or "Holder"). TicketLeap is in the business of providing reservations, tickets, memberships, certificates, admissions, and/or confirmations that allow You attendance at, access to, or participation in, events (including streamed events), venues and other activities (each, an "Event"). Each ticket that You purchase is a limited licence to attend a particular Event, and is subject to the additional terms and/or restrictions that may be set forth on that ticket. The parties, intending to be legally bound, hereby agree as follows:
BY CLICKING "PROCESS MY ORDER" , YOU REPRESENT THAT YOU HAVE READ AND UNDERSTAND THIS AGREEMENT, THE TERMS OF SERVICE ("TOS") AND THE PRIVACY POLICY, EACH HEREBY INCORPORATED BY REFERENCE, AND EXPRESSLY AGREE TO, AND CONSENT TO BE BOUND BY, ALL OF THE TERMS AND CONDITIONS CONTAINED THEREIN. THIS AGREEMENT SHALL HAVE THE SAME LEGAL EFFECT AND FORCE AS A WRITTEN AND SIGNED DOCUMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS AND CONDITIONS, WE WILL PROMPTLY CANCEL THIS TRANSACTION AND YOU WILL BE UNABLE TO ACCESS THE TicketLeap.AU WEBSITE AND THE SERVICES THAT IT OFFERS. WE RESERVE THE RIGHT TO DECLINE YOUR REQUEST FOR SERVICES FOR ANY REASON AND WITHOUT NOTICE.
1. OUR SERVICES AND RESPONSIBILITIES
TicketLeap provides the following services: (i) displaying and listing Events as submitted by the Event organiser, promoter, producer, presenter, or manager (collectively "EVAs"), including, where applicable, streaming Events; (ii) accepting and processing Your on-line orders for tickets to the Event that You wish to attend; and (iii) providing You with a confirmation number for Your transaction. The EVA has authorised Us to accept and process Your payment for Your ticket purchase. The payment method for each Event is specified in the Event listing on the Site. WHERE YOU PAY THE EVA AND DO NOT PAY TicketLeap DIRECTLY, WE DO NOT RECEIVE YOUR TICKET PURCHASE FUNDS AND ACCEPT NO RESPONSIBILITY OR LIABILITY FOR ANY REFUNDS UNDER THESE TERMS AND CONDITIONS BUT YOU MAY BE ENTITLED TO A REFUND UNDER THE AUSTRALIAN CONSUMER LAW IN CERTAIN CIRCUMSTANCES. The version of this Agreement in effect at the time a ticket is purchased will govern that transaction.
2. PRICING AND AVAILABILITY
The EVA, in its sole discretion, determines factors such as ticket pricing, availability, availability of individual refunds where an event has not been cancelled, and seating locations. Tickets may be sold exclusively through Us or in combination with other inventories from companies not associated with Us. TicketLeap exerts no control or authority over the EVA, ticket prices, availability, seating locations, individual refunds, or any other companies which may be selling tickets to the Events listed on Our Site.
3. PAYMENT AND SERVICE CHARGES; TICKETLEAP FEE SCHEDULE POSTED ONLINE
Where you pay for tickets through TicketLeap, We accept several methods of payment, including but not limited to: Visa, MasterCard, Discover/Novus, American Express and such other payment methods as are permitted by an EVA. Any tickets purchased on Our Site applications are subject to a per-ticket service charge, as shown prior to the time of Your ticket purchase.
TicketLeap's current Fee schedule can be found at the following link https://www.ticketleap.au/info/pricing/, which schedule (as it is updated from time to time) is hereby incorporated and made part of this Agreement by reference. YOU SHOULD REVIEW THIS LINK PERIODICALLY TO FAMILIARISE YOURSELF WITH OUR CURRENT FEE SCHEDULE, AS THE FEE SCHEDULE CHANGES FROM TIME TO TIME. Your order will be processed after Your billing address has been verified. You will receive confirmation that Your order was processed successfully via email shortly after the transaction is completed.
You represent and warrant that any credit or debit card or other billing information that You provide to TicketLeap is valid and accurate in all respects, and that, if any such information You have on file with us changes, You will immediately update Your information with valid and accurate information before requesting any additional transactions or incurring additional charges through TicketLeap. By providing payment card or other financial or payment account information to TicketLeap, You hereby authorise Us to charge or debit your payment card or other account for the face value of any tickets You purchase, as well as any Fees or other charges (such as taxes) that may be due in connection with any transactions you request through TicketLeap. In the event that TicketLeap suffers a chargeback or any other monetary loss because of invalid financial or payment account information provided by You, or because of any other act or omission by You in violation of this Agreement or the TOS, TicketLeap shall be entitled to recover from You, in addition to any amounts otherwise owing, its reasonable costs of collection, including, without limitation, collection agency fees, reasonable legal fees, and court costs.
4. TICKET LIMIT
You may be limited to a certain number of tickets for each Event. The Event listing will contain the maximum number of tickets available to each purchaser, and this number will be verified for each transaction. This policy is intended to discourage other purchasers from engaging in unfair trade practices. If We learn that You are purchasing more than the predetermined number of tickets for an Event and engaging in practices that We, in Our sole discretion, determine to be unfair, We will terminate Your account and cancel Your ticket purchase without prior notice to You.
5. NO REFUNDS OR EXCHANGES FOR EVENT RESTRICTIONS OR LOST OR STOLEN TICKETS
Before purchasing Your tickets, it is Your responsibility to carefully review all aspects of the Event, Event restrictions, if any, dates, pricing, charges, and seat selection, as applicable. Except as specifically stated in the paragraph titled "Event Description," We will NOT issue any refunds or exchanges because You failed to review this information and We will not issue any refunds for any lost, stolen, destroyed, or damaged tickets, or as under any other circumstances except in the limited cases explicitly described in this Agreement. As previously stated, even if a refund is issued by TicketLeap, Our Fees will be deducted from the refund amount.
6. ORDER CONFIRMATION AND BILLING INFORMATION VERIFICATION; NO RESPONSIBILITY FOR PAYMENTS TO EVA OR THROUGH THIRD-PARTY PAYMENT APPLICATION.
If You do not receive an email confirmation of Your purchase after submitting payment information, or if you experience an error message or service interruption after submitting payment information, it is Your responsibility to confirm with Us whether or not Your order has been placed by contacting Our customer support at the address provided below or emailing us at [email protected]. Only You may be aware of any problems that may occur during the purchase process. TicketLeap will not be responsible for such losses (whether monetary or otherwise). Orders are processed only after the relevant billing information has been verified.
Also, where You do not pay for Your ticket through TicketLeap (i.e., You pay through another third-party payment application or in cash or cheque), TicketLeap has no responsibility for or control over the security or effectiveness of the payment method. These third-party party applications may experience errors and interruptions and may not be totally secure, and, therefore, You use them entirely at Your own risk. TicketLeap does not provide, recommend or endorse any third-party payment application.
7. TICKET DELIVERY
If the Event offers or requires electronic ticket delivery, You will be able to print Your electronic tickets after Your order is processed. These tickets contain a unique barcode access code, or number that corresponds to Your order, for in-person events, and must be brought with You to the Event. Some Events will require a physical ticket. Physical tickets will either be shipped to You from Us or from the venue where the Event will be held. Some Events will require You to proceed to the call window to obtain Your tickets prior to entry. Other Events will allow You to be admitted directly. All of this information will be displayed on the Event listing, so please read and review the Event listing carefully.
8. EVENT ADMITTANCE
You understand that You must bring printed tickets and/or the confirmation information with You to the in-person Event. Additionally, while not all Events require identification, on some occasions, government-issued identification will be required by the EVA. For this reason, We recommend that You bring a valid and current government-issued photo identification ("ID") with You to the in-person Event. When arriving at an Event (including when accessing a streamed Event), there will only be one entry or access permitted per ticket. If there are multiple parties attempting to enter or access the Event using the same ticket, with respect to in-person Events, only the first party that arrived with the ticket will be admitted, and, with respect to streamed Events, only the first party to access the Event with the ticket will be admitted.
You acknowledge that an in-person Event may be scheduled to be held, or will be held, during a time at which one or more Government directions or regulations may be in force regarding the number of persons attending an Event (or the holding of the Event itself). If that is the case, then You agree the number of persons permitted to be in or around the venue may be affected, resulting in the:
- cancellation or postponement of the Event;
- reduction in the number of persons who may attend the Event;
- alteration of Your seating allocation; and/or
- alteration of any standing or seating configurations for attendance at the Event.
You agree to comply with all Government directions, orders and regulations relevant to attending the Event, which may be in place at the time of the Event. If there are multiple parties attending an in-person Event as part of a group, You are responsible for knowing the contact details of all attendees in your group.
9. EVENT RESTRICTIONS
Some Events listed on Our Site may have certain restrictions. For example, some Events will only admit people over eighteen (18) years of age or must have a certain affiliation, such as being a student at a particular educational institution, or must meet certain hardware or software requirements for streamed Events. It is Your responsibility to determine if a particular Event restriction applies to You (and Your party, if applicable) and to fulfil all criteria in order to gain admittance. No refunds will be given if You are unable to access entry to an Event due to such a restriction.
You acknowledge that venues are or may become subject to public health orders or advice providing that patrons are vaccinated, are medically exempt from vaccination or can provide evidence of their Covid-19 free status before entering the venue. It is a condition of the booking that patrons abide by any Covid-19 checking-in or verification procedures that the venue implements to address the public health orders or advice. No refunds will be given if You are unable to access entry to an Event due to such a restriction.
10. CANCELLED OR RESCHEDULED EVENT; REFUND POLICIES
Occasionally, an Event is cancelled or postponed by the EVA due to weather or other unforeseen circumstances. In certain instances, We may also cancel an Event due to problems with the EVA or the Event listing. If an Event is cancelled, We may post a notice of cancellation on Our Site under the Event listing promptly after We receive notice of the cancellation or otherwise attempt to notify You. If this happens, and if You have paid TicketLeap directly for Your ticket, We may issue a refund after We have notice of the cancellation. If You learn that an Event is cancelled, moved, or rescheduled, please contact Us at Our customer support address set forth below for information on requesting a refund. Please include Your name, the Event, and Your confirmation number. PLEASE NOTE THAT, AS STATED ABOVE, IF YOU HAVE PAID THE EVA FOR YOUR TICKET (AND NOT TicketLeap), TicketLeap ACCEPTS NO RESPONSIBILITY OR LIABILITY FOR, OR CONTROL OVER, THE ISSUANCE OF ANY REFUND UNDER THESE TERMS AND CONDITIONS BUT YOU MAY BE ENTITLED TO A REFUND UNDER THE AUSTRALIAN CONSUMER LAW IN CERTAIN CIRCUMSTANCES.
The EVA will have control over any refund availability and duration. Where you have paid for Your ticket through TicketLeap, You understand and acknowledge that TicketLeap does not accept any obligation under these terms and conditions to, issue refunds unless and until TicketLeap actually receives all such corresponding funds from the applicable EVA but you may be entitled to a refund under the Australian Consumer Law in certain circumstances. Any refund issued by TicketLeap will be applied to the credit or debit card or other payment account You used to purchase Your ticket; TicketLeap shall not be responsible if you fail to receive Your refund because your account information on file with TicketLeap is no longer valid or up-to-date. Any refunds of TicketLeap's Fees are the sole responsibility of the EVA and will not be included in a refund from Us unless the EVA has previously reimbursed TicketLeap for the refund of the applicable Fees. TicketLeap does not assume responsibility to make refunds to any person other than the person who ordered the tickets as shown by Our records, regardless of whether or not the tickets purchased by You have been transferred in accordance with this Agreement.
Where a refund of a ticket price is issued, Our Fees will be deducted from the refund amount and will not be refunded to You (unless the EVA chooses to authorise and pay for a refund of Our Fees, in which case Fees will be refunded to You upon payment from EVA to TicketLeap of the applicable Fees).
Neither TicketLeap nor the EVA will be liable for any other losses incurred by you, including any travel and accommodation expenses, as a result of the cancellation, rescheduling or relocation of an event, You should carefully consider the refund and cancellation policies of travel, accommodation and other goods or service providers when making arrangements for attendance at an event. You may also wish to consider taking out a relevant insurance policy to cover for any losses in the event of cancellation, rescheduling or relocation.
11. TRANSFER
If an EVA permits it, Tickets purchased by You may be transferred to other parties. If you are purchasing tickets for Yourself and on behalf of other parties, You, as the primary ticket holder, may resell or transfer these tickets to the other parties. It is Your sole responsibility to comply with any applicable federal, state, or local laws that relate to the resale, transfer, or other disposition (including so-called "scalping") of tickets. You are solely responsible, as well, for ensuring that any transferees of Your tickets are eligible to attend the Event and comply with any applicable restrictions for the Event (e.g., age restrictions). Neither this Agreement nor the TOS is intended to create any third-party beneficiary rights for transferees of tickets, and You agree to indemnify, defend and hold TicketLeap, its affiliates, and its and their respective officers, directors, shareholders, members, managers, employees, customers, suppliers, contractors, agents and representatives harmless from and against any and all claims, suits, complaints, actions, demands, proceedings, damages, losses, liabilities, costs and expenses incurred, suffered, brought, claimed, made or alleged by or on behalf of any transferees of tickets, as well as any and all legal fees and other costs or expenses incurred by TicketLeap or any of the other indemnified parties in connection therewith. For tickets for Events sold by TicketLeap, tickets purchased from any party other than TicketLeap carry a great risk of being fraudulent.
12. INDEMNITY FOR THIRD-PARTY ACTIONS
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE TO INDEMNIFY, DEFEND, RELEASE AND HOLD HARMLESS TicketLeap, ITS AFFILIATES, AND THEIR RESPECTIVE LICENSORS AND SUPPLIERS (COLLECTIVELY, THE “TicketLeap PARTIES”) FROM AND AGAINST (I) ALL CLAIMS, LOSSES, LIABILITIES, SETTLEMENTS, FINES, PENALTIES, ACTIONS, LAWSUITS AND LEGAL ACTIONS BROUGHT BY ANY THIRD PARTY AGAINST ANY OF THE TicketLeap PARTIES ARISING FROM OR RELATING TO (A) THE TicketLeap SITE, OR ANY SERVICES OFFERED BY TicketLeap; (B) YOUR VIOLATION OF THESE TERMS; (C) ANY CONTENT OR FEEDBACK YOU PROVIDE; (D) YOUR VIOLATION OF ANY LAW OR THE RIGHTS OF ANY THIRD PARTY; OR (E) ANY ALLEGATION THAT THE CONTENT YOU PROVIDE OR DATA OR INFORMATION YOU INPUT INTO THE TicketLeap SITE INFRINGES, MISAPPROPRIATES, OR VIOLATES THE INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY (COLLECTIVELY, “THIRD-PARTY ACTIONS”); AND (II) ANY AND ALL LOSSES, DAMAGES, LIABILITIES, SETTLEMENTS, JUDGMENTS AND EXPENSES (INCLUDING PAYMENT OF THE TicketLeap PARTIES’ LEGAL FEES AND COSTS) INCURRED BY ANY OF THE TicketLeap PARTIES, ASSESSED OR FOUND AGAINST ANY OF THE TicketLeap PARTIES, OR MADE BY ANY OF THE TicketLeap PARTIES, RELATING TO OR ARISING FROM ANY SUCH THIRD-PARTY ACTION (COLLECTIVELY, “THIRD PARTY RELATED LOSSES”).
YOU UNDERSTAND AND AGREE THAT YOUR INDEMNIFICATION OBLIGATIONS TO THE TicketLeap PARTIES APPLY EVEN IF SUCH THIRD-PARTY ACTION AND THIRD PARTY RELATED LOSSES ARISE FROM THE NEGLIGENCE OF ANY KIND OR DEGREE, BREACH OF CONTRACT OR WARRANTY, STRICT LIABILITY, NON-COMPLIANCE WITH APPLICABLE LAW, OR OTHER FAULT OR WRONGDOING OF ANY OF THE TicketLeap PARTIES.
HOWEVER, NOTHING CONTAINED HEREIN SHALL BE CONSTRUED TO REQUIRE ANY INDEMNIFICATION THAT WOULD RENDER OR MAKE THIS CLAUSE, IN WHOLE OR IN PART, VOID AND/OR UNENFORCEABLE UNDER APPLICABLE LAW. FURTHER, YOUR INDEMNIFICATION OBLIGATION SHALL NOT APPLY TO ANY WILLFUL, WANTON, INTENTIONAL OR RECKLESS MISCONDUCT OF THE TicketLeap PARTIES, OR GROSS NEGLIGENCE OF THE TicketLeap PARTIES IN THOSE STATES THAT DO NOT PERMIT INDEMNIFICATION FOR GROSS NEGLIGENCE.
“THIRD PARTY” INCLUDES, AMONG OTHERS, OTHER USERS OF THE TicketLeap SITE, YOUR SPOUSE, PARTNER, FAMILY MEMBERS, GUESTS, NEIGHBOURS, ROOMMATES, TENANTS, AND EMPLOYEES, AND ANY INSURANCE COMPANY.
TicketLeap reserves the right to assume the exclusive defence and control of any matter for which you are required to indemnify TicketLeap and you agree to cooperate with our defence of such claims. You agree not to settle any such claim without TicketLeap prior written consent.
13. DISCLAIMER OF WARRANTIES
TicketLeap’S SITE AND SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITHOUT ANY WARRANTY OF ANY KIND. TicketLeap DOES NOT WARRANT OR GUARANTEE THE QUALITY, COMPLETENESS, TIMELINESS, OR AVAILABILITY OF THE SITE OR SERVICES. TicketLeap DOES NOT WARRANT OR GUARANTEE THAT THE SITE OR SERVICES WILL BE UNINTERRUPTED OR ERROR FREE, THAT ANY DEFECTS IN THE SITE OR SERVICES WILL BE CORRECTED, OR THAT THE SITE OR SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL CONDITIONS OR COMPONENTS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TicketLeap EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND WITH RESPECT TO THE SITE AND SERVICES, INCLUDING WITHOUT LIMITATION THOSE REGARDING AVAILABILITY, QUALITY, ACCURACY, MERCHANTABILITY, FITNESS FOR ANY USE OR PURPOSE, COMPATIBILITY WITH ANY STANDARDS OR USER REQUIREMENTS, TITLE, AND NON INFRINGEMENT, AS WELL AS ANY ARISING BY OPERATION OF LAW OR FROM A COURSE OF DEALING OR USAGE IN TRADE. TicketLeap HAS NO RESPONSIBILITY FOR THE TIMELINESS, DELETION, MISDELIVERY, OR FAILURE TO STORE ANY CONTENT OR USER COMMUNICATION.
14. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE TicketLeap PARTIES BE LIABLE FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL LOSS OR DAMAGE, OR ANY OTHER LOSS OR DAMAGE OF ANY KIND, ARISING OUT OF OR IN CONNECTION WITH TicketLeap’S SITE OR SERVICES (INCLUDING YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SAME), WHETHER THE CLAIM IS BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, WARRANTY, OR OTHERWISE, AND EVEN IF A TicketLeap PARTY HAS EXPRESS KNOWLEDGE OF THE POSSIBILITY OF THE LOSS OR DAMAGE. YOUR SOLE AND EXCLUSIVE REMEDY IS TO STOP ACCESSING AND USING THE SERVICE.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU. IN THOSE CIRCUMSTANCES YOUR SOLE AND EXCLUSIVE REMEDY WILL BE LIMITED TO THE TOTAL FEES AND CHARGES PAID BY YOU TO TicketLeap FOR, AS APPLICABLE, YOUR MOST RECENT TICKET PURCHASE OR EVENT AND WILL NOT EXCEED THAT AMOUNT.
15. TICKET RESTRICTIONS
EVAs reserve the right, without refund of any amount paid, to refuse admission or access to an Event to, or eject, any person whose conduct is deemed disorderly, who uses vulgar or abusive language or who fails to comply with the EVAs rules, including any requirement that persons not record or transmit any picture or reproduction of the Event. Breach of terms or rules will terminate Your licence to access the Event without refund. A ticket is a revocable licence and access may be refused upon refunding the ticket's face amount. A ticket is not redeemable for cash.
16. INDEPENDENT CONTRACTORS
TicketLeap and You are and shall be independent contractors and neither party by virtue of this Agreement shall have any right, power, or authority to act or create any obligation, express or implied, on behalf of the other.
17. CUSTOMER SUPPORT
TicketLeap will provide technical and other customer support to You should You have any questions or difficulties which may arise in connection with Your use of Our website. You can access support at https://ticketleap.elevio.help/en. We attempt to answer Your questions in a timely manner, but make no guarantees that We will respond to Your inquiry by a particular time.
